Related-party revenue in founder-led deals: the DD line financial models skip

Every private equity or growth investor has seen a clean model with a line that is not clean: revenue from a distributor, landlord, customer, or services company that shares ownership with the founder.

JSVHQ Due Diligence is built for the gap between the spreadsheet and the operating reality: what traditional financial DD misses (services). This article is the pattern. It is not a case study and it does not name clients.

Typical shapes:

  • A “strategic customer” that is also the founder’s other company
  • Distribution through an affiliate that marks up and returns soft commitments as firm orders
  • Intercompany services that inflate both revenue and EBITDA depending on which entity you buy
  • A landlord or IP holdco that will change terms the day after close

None of that is automatically fraud. All of it is a valuation and durability question.

Three tests that belong in operational DD

1. Survival without the affiliate

If the related party disappeared tomorrow, what percentage of revenue and margin remains with arm’s-length customers? Revenue quality metrics and customer concentration are adjacent — related-party risk is concentration with a governance twist.

2. Terms that only exist because of common control

Payment terms, returns, MFN, exclusivity, and “marketing support” that would not survive an independent counterparty. Financial DD often accepts the historical P&L. Operational DD rewrites the forward case.

3. What the SPA has to say out loud

Representations, working-capital definitions, and post-close transition services are where related-party fiction becomes a lawsuit. The diligence memo should force the issue before the model is blessed.

Why this sits next to “five things financial DD never catches”

Five Things Financial DD Never Catches is the wider map. Related-party revenue is one of the highest-frequency misses in founder-led mid-market deals: the numbers reconcile, the dependency does not.

What this is not

  • Not a published client war story
  • Not a substitute for counsel or a full QoE
  • Not AI-ops or anything that belongs on leverwork.com

Who this is for

Funds, family offices, and founders on either side of a deal who already suspect the top line needs an operating view. Mutual NDA first. Start under NDA.
